Terms & Conditions and Risk Disclosure

Version 2026-10-10 · StrategyFolio LLC (strategyfolio.com)

Summary (the full terms below control): This is educational software, not investment advice. The operator is not a registered investment adviser, broker-dealer or licensed financial or trading analyst and does not recommend any trade. Leveraged and inverse ETFs are high-risk; you can lose most or all of the money you allocate. Past performance and backtests do not guarantee future results. StrategyFolio publishes the Operator's own trades for education and does not connect to or trade in members' accounts. You alone decide whether to trade, and you alone are responsible for your account and every position in it.

These Terms & Conditions ("Terms") are an agreement between you ("you", the "Member") and StrategyFolio LLC, a New Hampshire limited liability company ("we", "us", the "Operator"), governing your use of the StrategyFolio website (strategyfolio.com), member portal, trading strategies (every strategy offered now or added later), software, emails and related services (the "Service"). By registering, ticking the acknowledgement boxes, or using the Service you agree to these Terms. If you do not agree, do not register or use the Service.

1. Not investment advice; no adviser relationship

  1. The Operator is not registered as an investment adviser with the U.S. Securities and Exchange Commission or any state, is not a broker-dealer, commodity trading advisor, financial planner, or licensed financial or trading analyst, and is not authorized to recommend the purchase or sale of any security.
  2. The Service is provided solely for educational, informational and training purposes. Nothing on the Service — including model outputs, "targets", "suggested orders", regime signals, emails, analytics, backtests or examples — is a recommendation, solicitation, offer, or personalized advice to buy, sell or hold any security, or a statement that any strategy is suitable for you.
  3. Each strategy applies the same fixed, rules-based logic to every member who selects it. It does not consider your financial situation, objectives, tax position, experience or risk tolerance. No fiduciary, advisory or other special relationship is created between you and the Operator.
  4. You should consult a licensed financial professional, tax adviser and attorney before making investment decisions.

2. Your decisions and responsibility

  1. You decide whether and how to use the Service. The Service does not connect to or place orders in your brokerage account. Any trade you place in your own account, including one similar to a published trade, is your own independent decision, made at your direction and for your account.
  2. You are solely responsible for your brokerage account(s), all positions, orders, gains, losses, fees, margin, taxes and regulatory obligations, and for monitoring your account at all times, including when the Service is unavailable.
  3. You agree to perform your own due diligence, to begin with paper trading, to study how the model behaves in different markets, and to form your own plan before committing real money.

2A. "See my trades" — the Operator's own trades

  1. When the Service is in "See my trades" mode, members see trades placed in an account owned or controlled by the Operator (the "house account"), together with explanations of why each trade was made, its positions and results. This information is published for education only. It is impersonal, the same for every member of a strategy, and published on a regular schedule chosen by the Operator (usually once a day after the market close), never as a time-sensitive alert.
  2. Nothing published is a recommendation, solicitation or advice to buy, sell or hold any security, or a statement that any security or strategy is suitable for you. The Operator does not answer questions about whether you should trade any security, and does not trade members' accounts.
  3. The Operator may buy, hold or sell any security shown, at any time, before or after publication, without notice. Published results are the Operator's actual account figures built from real fills; they exclude taxes and other costs you may incur, and your own results would differ.
  4. Any decision you make in your own account — including copying any trade — is entirely your own, at your own risk.

3. Risk disclosure

Trading is risky. In particular you acknowledge that:

4. Eligibility and registration

  1. You must be at least 18 years old (or the age of majority where you live), legally able to enter into this agreement, and not prohibited from using the Service under applicable law. The Service is intended for residents of the United States.
  2. At registration you answer questions about your trading experience, risk tolerance, the amount you would consider using and your reasons for joining. The Operator uses these answers only to decide whether to admit you to the Service. They are not an assessment that any strategy or trade is suitable for you, and the Operator does not use them to give you personalized advice.
  3. You must provide accurate, current information (name, email, phone, address, and your experience and risk profile) and keep it updated. Access to the member portal is granted at the Operator's sole discretion after review; the Operator may refuse, suspend or terminate access at any time.
  4. You are responsible for keeping your password and any 2-step verification device secure and for all activity under your login.

5. Trial, membership, billing and cancellation

  1. Trial. Approved members receive a free trial (currently 30 days) covering every strategy offered: access to the published trades and, where offered, a simulated paper-trading account. No real-money trading takes place through the Service.
  2. Subscriptions. Each strategy is subscribed to separately (alone or as part of a bundle offered by the Operator). A subscription gives access to that strategy's published trades, explanations, positions and results, billed monthly in advance on a recurring basis until cancelled. Prices, bundles and promotions may change with notice before your next billing period; a promotional discount applies only as described when you order.
  3. Cancellation. You may cancel any strategy at any time; cancelling a strategy that is part of a bundle cancels the bundle. A cancelled subscription remains active until the end of the current billing period and then ends, together with access to that strategy's published trades. Positions in any account of yours are always yours alone to manage.
  4. Refunds. Fees are non-refundable except where required by law or as stated by the Operator in writing.
  5. The Operator may suspend the Service, any member's access, or publication of any trades at any time, for example for maintenance, suspected errors, market events, non-payment, or breach of these Terms.

6. Brokerage accounts

  1. The Operator never holds your money or securities. You do not link a brokerage account to the Service, and the Service places no orders for you. Any brokerage account you use is held by your broker under that broker's own terms; the Operator is not affiliated with, endorsed by or responsible for any broker.
  2. Any paper-trading account on the Service is simulated: no real orders are sent and no real money is involved.

7. No warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR PROFITABLE. NO RESULT IS PROMISED OR GUARANTEED.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS OWNERS, AFFILIATES, CONTRACTORS AND AGENTS SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOST OPPORTUNITIES, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM ORDERS PLACED OR NOT PLACED, DELAYS, ERRORS, OUTAGES, DATA PROBLEMS, BROKER ACTIONS, UNAUTHORIZED ACCESS, OR YOUR RELIANCE ON THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. THE OPERATOR'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless the Operator and its owners, affiliates, contractors and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from your use of the Service, your trading, your brokerage accounts, your breach of these Terms, or your violation of any law or third-party right.

10. Acceptable use and intellectual property

  1. The Service, model, code, content and branding belong to the Operator. Your membership is personal and non-transferable. You may not share your login, resell or redistribute signals or emails, copy, reverse engineer or scrape the Service, or use it unlawfully.

11. Privacy and communications

We collect the information you provide (name, email, phone, address, experience and risk profile), account and trading records needed to run the Service, and technical logs (such as IP addresses) for security and audit. We use it to operate the Service, communicate with you (including run and trade emails where applicable, and account notices), comply with law and protect the Service. We do not sell your personal information. We keep account and trading records while your account is open and for up to seven years after it closes (for tax, legal and audit purposes), then delete them. To ask for a copy of your information, or for its correction or deletion (except records we must keep by law), email [email protected].

12. Changes and termination

We may update these Terms. Material changes will be presented in the portal and you must accept them to keep using the Service; until you do, your access to the Service, including any automated features, is paused. Some features may be offered only to certain members, under additional terms shown to and accepted by those members. We may terminate or suspend the Service or your access at any time; sections 1–3 and 6–13 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law rules. Any dispute shall be resolved in the state courts of New Hampshire located in Hillsborough County, or the federal court for the District of New Hampshire, and you consent to their jurisdiction. Small claims may be brought in a New Hampshire small claims court. You waive any right to participate in a class action to the extent permitted by law. If any provision is unenforceable, the rest remains in effect.

14. Acknowledgements you give at registration

  1. I have read and accept these Terms & Conditions and Risk Disclosure.
  2. I understand this is not a trading recommendation or investment advice, and StrategyFolio and its operator are not a registered adviser, broker or licensed financial/trading analyst.
  3. I understand the service is for educational and training purposes and I will do my own due diligence.
  4. I understand the strategies are high-risk, high-reward models that may use leveraged, inverse and volatility ETFs, I expect large drawdowns, past performance does not guarantee future results, and I will not risk money I cannot afford to lose.
  5. I will start with paper trading and plan on my own before using real money.
  6. I am solely responsible for any brokerage account I use and every position in it, including any trade I decide to make myself after seeing published trades.
